Terms of Website Design, Hosting, Webmaster & Online Marketing Services
- Authorization
The Client engages JPG Designs as an independent contractor for website development and/or improvements to be installed on the Client’s hosting account. The Client authorizes JPG Designs to access the hosting account and necessary directories to complete the project. The Client also authorizes JPG Designs to submit the completed website to search engines unless otherwise requested in writing. - Web Hosting
The Client understands that web hosting is a separate service and agrees to select a provider that grants JPG Designs full access via FTP or equivalent credentials. JPG Designs is not responsible for hosting-related issues, downtime, security breaches, or performance disruptions caused by third-party hosting providers. - Domain Name Management
If JPG Designs registers a domain on behalf of the Client, ownership is transferred to the Client upon full payment. JPG Designs is not responsible for domain renewals unless a separate management agreement is in place. - Changes to Submitted Content
Substantive changes to text, images, or content provided by the Client after initial website construction may incur additional fees, billed at the current hourly rate. Minor text corrections within the first 30 days after launch are free. - Copyrights and Trademarks
The Client guarantees that any text, graphics, photos, designs, trademarks, or other materials provided to JPG Designs for website use are either owned by the Client or used with permission. The Client agrees to indemnify and hold JPG Designs harmless against any claims related to unauthorized use of such content.
6. Copyright to Web Pages
JPG Designs retains copyright to all website elements during development. Copyright is transferred to the Client upon full payment. However, resale of JPG Designs’ work without prior consultation is not permitted. JPG Designs reserves the right to use the completed project in its portfolio unless the Client requests otherwise in writing.
- ADA & WCAG Compliance
JPG Designs incorporates Web Content Accessibility Guidelines (WCAG) best practices to enhance website accessibility. However, accessibility standards and legal requirements may vary, and achieving full compliance can depend on additional factors beyond standard website development. The Client acknowledges that accessibility compliance is an ongoing process and assumes responsibility for ensuring legal compliance. JPG Designs is not liable for any claims, legal actions, or penalties related to accessibility unless a separate accessibility compliance agreement is signed. - Use of Subcontractors & Pre-Developed Themes
JPG Designs may assign subcontractors or use pre-developed themes/templates to ensure project efficiency and timely completion. The Client will approve the design before moving to content insertion. - Post-Placement Alterations
JPG Designs is not responsible for third-party modifications, including changes made by the Client or other developers after project completion. - Errors & Omissions
JPG Designs will use good faith efforts to deliver error-free pages but is not liable for typographical errors, functionality issues caused by third-party plugins, or SEO performance. The Client must review all pages upon completion and report errors within 30 days for free corrections. Beyond 30 days, changes are billable. - Payment of Fees
- 50% of the total project cost is due upon agreement. The remaining 50% is due upon project completion or 90 days from the project start date, whichever comes first.
- Payments must be made in U.S. funds. A $250 late fee applies if payment is not received by the due date. An additional 1.5% interest per month applies to overdue balances.
- JPG Designs reserves the right to suspend the website if payments are overdue beyond 30 days.
12. Cancellation Policy
Either party may cancel this agreement in writing. The Client must pay for work completed at the current hourly rate or 30% of the total contract amount, whichever is greater. Refunds are not provided for completed work.
- Legal Notice
JPG Designs does not guarantee uninterrupted or error-free website performance. JPG Designs is not liable for third-party service failures, hosting issues, security breaches, Acts of God, or damages resulting from website use. - Credit Link in Footer & Page
JPG Designs reserves the right to place a small credit link at the bottom of the website and/or a dedicate page in the back-end linking to the JPG Designs website unless the Client requests removal in writing. - Sole Agreement
This document constitutes the entire agreement between JPG Designs and the Client regarding this website project. Any additional work requires a written change order. Pricing is valid for six (6) months; continued services beyond this period require a new agreement. - Project Timeline & Client Responsibilities
- The Client must provide all necessary content (text, images, branding) within eight (8) weeks of signing this contract.
- If the Client fails to submit content within eight (8) weeks, the full contract amount is due, and a continuation fee of 10% per month applies until the project is launched.
- Refund Policy
If the Client cancels before work begins, the initial deposit will be refunded minus a $99 processing fee. If work has started, the Client is responsible for work completed at the current hourly rate. No refunds are issued once the website is completed.
18. Website Cookies & Privacy Compliance
JPG Designs is not responsible for ensuring compliance with website cookie policies, GDPR, CCPA, or other privacy laws. The Client is solely responsible for determining and implementing any necessary cookie policies or privacy compliance measures. The Client should consult with an attorney to ensure compliance with local and international regulations. JPG Designs does not automatically include cookie consent banners or compliance tools; the Client must specifically request the implementation of a cookie consent plugin if needed. JPG Designs assumes no liability for legal claims related to data privacy or tracking technologies on Client websites.
- Digital Marketing Services
- JPG Designs offers SEO, Google Ads management, social media marketing, paid advertising, Google review monitoring, and other digital marketing services. While we have done digital marketing for 15 years and consistently get great results for our clients. The Client understands that:
- Results are not guaranteed, as digital marketing outcomes depend on various factors, including competition, market conditions, and algorithm changes.
- These services are not included with a one time website setup, design or development package. This would be part of a separate ongoing monthly service, if not specified within this proposal.
- SEO improvements may take several months to show significant results, and JPG Designs cannot guarantee specific rankings.
- Google Ads campaigns require a separate advertising budget, paid directly to Google, and JPG Designs is not responsible for fluctuations in ad performance.
- Social media posting and ads are subject to platform policies, and JPG Designs is not liable for content removal or account suspensions by third-party platforms.
- Google review monitoring involves tracking online reviews on platforms such as Google and providing insights, but JPG Designs does not guarantee the removal of negative reviews.
- JPG Designs may send review requests via email and/or SMS on behalf of the Client to encourage positive reviews, but the Client acknowledges that public feedback is outside JPG Designs’ control.
- Dumpster Rental Lead Agreement
1. $1 Sign-Up Offer
Client agrees to a one-time, non-refundable $1 setup fee to launch their lead generation campaign.
This fee covers campaign setup, custom landing page creation, and integration with lead tracking tools.
2. Lead Guarantee Before Billing
JPG Designs will deliver 10 qualified leads before any monthly management fees begin.
After the 10th lead is delivered, the monthly management fee (agreed upon during sign-up) will automatically start.
3. Monthly Management Fee
Monthly fee will be either $1,000, $1,200, or $1,500, based on ads budget, scope, target area/market size, and services provided.
The monthly management fees are for one target area and for one main campaign. Additional target areas are available as an add-on for $500 per month. Note, additional campaigns / target areas require a $100/day minimum ad spend.
Fee covers all campaign management, optimization, reporting, and landing page hosting.
Ad spend is billed separately through the client’s Google Ads account. A minimum daily ad budget of $100 is required.
4. Lead Definition & Tracking
A qualified lead is defined as a phone call, form submission, or email inquiry from a prospective customer looking for dumpster rental services.
Leads are tracked via custom landing pages, form submissions, and call tracking set up by JPG Designs.
Spam and duplicates, wrong numbers, or inquiries not related to dumpster rentals will not count toward the 10-lead threshold.
5. Performance Window
If JPG Designs does not deliver 10 qualified leads within 45 days, no monthly management fee will be billed.
Client may continue the campaign or cancel at their discretion after the 45-day mark.
6. Service Area & Lead Exclusivity
Leads are exclusive within the client’s primary service area (typically a 15–30 mile radius, depending on market size and competition).
JPG Designs may work with multiple clients in overlapping regions only if the overlap is minimal and lead volume supports it without significant competition.
7. No Long-Term Contracts
This is a month-to-month agreement with no long-term commitment.
Client may cancel any time with 15 days’ notice prior to the next billing date.
8. Refund Policy
The $1 sign-up fee is non-refundable.
Monthly management fees are non-refundable, as JPG Designs assumes upfront risk and labor in setting up and managing the campaign.
- If the client cancels within the first 45 days or before JPG Designs has the opportunity to provide the first 10 leads, there will be a cancellation charge of $1,000 for the campaign, landing page and setup.
9. Billing & Payment
Monthly fee will be charged automatically once the 10-lead milestone is hit.
Payment is due upon invoice. Late or failed payments may result in paused services.
10. Client Responsibilities
Provide accurate business info and approve ad messaging when needed.
Respond promptly to new leads and provide feedback on lead quality.
Maintain a connected and active Google Ads account with the required daily budget.
11. Campaign Ownership
All landing pages, ad copy, creative materials, and campaign data are the property of JPG Designs.
Clients do not retain access or rights to these materials if services are terminated.
By proceeding with services from JPG Designs, the Client agrees to these terms and conditions.
